Terms of Service

Professional terms governing our AI development services, enterprise solutions, and client relationships.

Important: These Terms of Service govern your use of Legacy Edge's custom AI product development, Voice AI solutions, SaaS platforms, enterprise consulting, and related services. By engaging with our services, you agree to be bound by these terms. Please read them carefully.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Legacy Edge Private Limited ("Legacy Edge," "we," "us," or "our"), a company registered in India.

By accessing our website, engaging our services, or entering into a service agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Services

Legacy Edge provides enterprise-grade AI solutions with a 95% success rate and 18-21 day delivery timelines, including but not limited to:

  • Custom AI Product Development: Production-ready, GDPR-compliant AI products tailored to your business requirements with enterprise-grade security
  • Voice AI Solutions: Conversational AI, voice agents, natural language processing, and intelligent conversation management systems
  • SaaS and MVP Development: Scalable software-as-a-service platforms and minimum viable product solutions that grow with your business
  • Enterprise AI Consulting: Strategic AI assessment, implementation guidance, and optimization consulting for enterprise transformation
  • AI System Integration: Integration of AI solutions with existing business infrastructure, APIs, and enterprise systems
  • DevOps & Cloud Deployment: Production deployment, cloud infrastructure setup, and DevOps excellence for AI solutions
  • Technical Support & Maintenance: Ongoing technical support, system optimization, and maintenance of deployed AI solutions

3. Service Agreements and Scope

Project Engagement

Specific services will be detailed in individual Service Agreements or Statements of Work (SOW) that reference these Terms. Each project engagement will specify:

  • Detailed scope of work and deliverables
  • Project timeline and milestones
  • Pricing and payment terms
  • Technical specifications and requirements
  • Acceptance criteria and testing procedures

Service Standards & Performance Guarantees

We commit to delivering services that meet or exceed industry standards for:

  • Success Rate: 95% project success rate based on agreed specifications
  • Delivery Timeline: 18-21 day delivery for standard AI product development
  • Code Quality: Enterprise-grade code with comprehensive documentation
  • Security & Compliance: GDPR compliance and enterprise-grade security measures
  • Performance & Scalability: Production-ready solutions designed for enterprise scale
  • Professional Standards: Clear communication, project management, and technical support

4. Client Responsibilities

To ensure successful project delivery, clients agree to:

  • Information Provision: Provide accurate, complete, and timely information necessary for service delivery
  • Access & Resources: Grant necessary access to systems, data, and personnel as required
  • Decision Making: Provide timely feedback and approvals within agreed timeframes
  • Technical Environment: Maintain appropriate technical infrastructure for deployment
  • Compliance: Ensure compliance with applicable laws and regulations in your jurisdiction
  • Data Quality: Provide clean, properly formatted data for AI training and implementation

5. Payment Terms

Pricing and Invoicing

  • All prices are quoted in USD unless otherwise specified
  • Invoices are issued according to the payment schedule in your Service Agreement
  • Payment is due within 30 days of invoice date unless otherwise agreed
  • Late payments may incur interest charges of 1.5% per month

Payment Methods

We accept payment via:

  • Bank transfer (wire transfer)
  • Corporate credit cards
  • Other methods as mutually agreed

Refund Policy

Refunds are handled on a case-by-case basis according to the specific terms in your Service Agreement. Generally:

  • Work completed and delivered according to specifications is non-refundable
  • Unused portions of prepaid services may be refundable at our discretion
  • Refund requests must be submitted in writing with detailed justification

6. Intellectual Property Rights

Client IP

  • You retain ownership of your pre-existing intellectual property
  • You grant us a license to use your IP solely for service delivery
  • We will protect your confidential information according to our confidentiality obligations

Developed IP

  • Custom AI solutions developed specifically for you will be owned by you upon full payment
  • We retain ownership of our proprietary methodologies, frameworks, and general knowledge
  • Any improvements to our existing IP remain our property
  • Open-source components remain subject to their respective licenses

Legacy Edge IP

  • Our pre-existing IP, tools, and methodologies remain our property
  • You receive a license to use delivered solutions for your business purposes
  • You may not reverse engineer, modify, or redistribute our proprietary components

7. Confidentiality and Data Protection

Confidential Information

Both parties agree to maintain the confidentiality of:

  • Business strategies and proprietary information
  • Technical specifications and system architectures
  • Financial information and pricing details
  • Customer data and personal information
  • Any information marked as confidential

Data Protection

  • We comply with GDPR, CCPA, and applicable data protection regulations
  • Client data is processed only as necessary for service delivery
  • We implement enterprise-grade security measures
  • Data Processing Agreements (DPA) are available upon request
  • We maintain SOC 2 Type II compliance

8. Warranties and Disclaimers

Service Warranties

We warrant that our services will:

  • Professional Standards: Be performed with professional skill and care meeting industry standards
  • Specification Compliance: Conform to the agreed specifications in your Service Agreement
  • Legal Compliance: Comply with applicable laws, GDPR, and industry standards
  • Quality Assurance: Be free from material defects for 90 days after delivery
  • Security Standards: Meet enterprise-grade security requirements as specified
  • Performance Guarantees: Achieve the 95% success rate for deliverables meeting agreed specifications

AI-Specific Disclaimers

EXCEPT AS EXPRESSLY SET FORTH HEREIN, WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI System Limitations: AI systems are inherently probabilistic and may not perform perfectly in all scenarios. While we maintain a 95% success rate, we do not warrant that AI solutions will be 100% error-free or will meet all possible business objectives beyond those specified in the Service Agreement.

Data Dependencies: AI performance is dependent on data quality, completeness, and relevance provided by the client. We are not responsible for AI performance issues arising from inadequate or poor-quality training data.

Regulatory Changes: AI regulations are evolving. While we ensure current GDPR compliance, clients are responsible for ensuring ongoing compliance with future regulatory changes in their jurisdiction.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim
  • We shall not be liable for indirect, incidental, special, consequential, or punitive damages
  • We shall not be liable for loss of profits, data, or business opportunities
  • These limitations apply regardless of the theory of liability

10. Indemnification

You agree to indemnify and hold us harmless from claims arising from:

  • Your use of our services in violation of these Terms
  • Your violation of applicable laws or regulations
  • Infringement claims related to your content or data
  • Your modification of delivered solutions without our consent

11. Term and Termination

Term

These Terms remain in effect until terminated. Individual Service Agreements have their own specific terms and duration.

Termination

Either party may terminate:

  • For convenience with 30 days written notice
  • Immediately for material breach that remains uncured after 15 days notice
  • Immediately for insolvency or bankruptcy

Effect of Termination

  • You must pay for all services rendered up to the termination date
  • We will deliver completed work products
  • Confidentiality obligations survive termination
  • IP ownership provisions remain in effect

12. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond their reasonable control, including but not limited to:

  • Natural disasters and acts of God
  • Government actions and regulatory changes
  • War, terrorism, and civil unrest
  • Pandemics and public health emergencies
  • Internet outages and infrastructure failures

13. Governing Law and Dispute Resolution

Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

Dispute Resolution

Disputes will be resolved through:

  1. Direct Negotiation: Good faith discussions between senior representatives
  2. Mediation: Non-binding mediation if negotiation fails
  3. Arbitration: Binding arbitration under Indian Arbitration and Conciliation Act

14. General Provisions

Entire Agreement

These Terms, together with your Service Agreement and Privacy Policy, constitute the entire agreement between the parties.

Modifications

We may update these Terms periodically. Material changes will be communicated with 30 days notice. Continued use of our services constitutes acceptance of updated Terms.

Severability

If any provision is found unenforceable, the remainder of these Terms remains in full force and effect.

Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations with reasonable notice.

Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

Limitation of Liability

Legacy Edge shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from your use of our services or for any other claim related in any way to your use of our services.

Refund Policy

Refunds are issued at the sole discretion of Legacy Edge. If you are not satisfied with our service, please contact our support team within 10 days of your purchase to request a refund. Refunds will not be provided for any requests made after this period. Please note it can take 5-7 working days to process refund and credit the amount to the customer's bank account.

Termination

We reserve the right to terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal disputes shall be addressed and resolved in the jurisdiction of Hathras, Uttar Pradesh 204101, India.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
